01 Interpretation And Definitions

Words with the initial letter capitalized have meanings defined under the following conditions. These definitions have the same meaning whether they appear in singular or plural.

02 Acknowledgement

These are the Terms and Conditions governing the use of this Website and the supply of Products, and the agreement that operates between you and the Company. They set out the rights and obligations of all users in relation to the Service.

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. By accessing or using the Service, you agree to be bound by them. If you disagree with any part of these Terms, you may not access the Service. You represent that you are over the age of 18 and have the authority to enter into this agreement on behalf of the entity you represent.

03 Use Of The Website

You may use the Website to view product information, request quotations, and contact the Company. You agree to use the Website only for lawful purposes and in a way that does not infringe the rights of, or restrict the use of, the Website by any third party.

You agree not to:

04 Quotations And Orders

Quotations issued by the Company are valid for the period stated in the quotation, or 30 days where no period is stated, and are subject to confirmation at the time of Order. A quotation does not constitute a binding contract until an Order is confirmed in writing by both parties.

An Order becomes binding once the Company issues an order confirmation or proforma invoice and receives your acceptance or deposit. The confirmed specification, quantity, price, and delivery terms in that document take precedence over any prior discussion. Any change to a confirmed Order must be agreed in writing and may affect price and lead time.

05 Pricing And Payment

Prices are quoted in USD unless otherwise agreed and are based on the Incoterms stated in the quotation (for example EXW, FOB, or CIF). Unless stated otherwise, prices exclude freight, insurance, duties, taxes, and bank charges, which are borne by you according to the agreed Incoterms.

Payment terms are stated in the order confirmation, typically a deposit before production with the balance due before shipment or against documents. The Company reserves the right to withhold production or shipment until due payments are received. Bank charges incurred by the remitting party are your responsibility.

06 Samples, Production And Lead Times

Samples may be provided before mass production for approval of specification, dimensions, and performance. Production begins after you approve the sample or confirm the specification in writing. For OEM and ODM Orders, you are responsible for confirming drawings, tooling, connectors, voltage, and labeling before production starts.

Lead times stated in a quotation or confirmation are estimates based on normal conditions. The Company will make reasonable efforts to meet agreed dates but is not liable for delays caused by events outside its reasonable control, including material shortages, force majeure, or changes you request after confirmation.

07 Shipping, Delivery And Risk

Delivery and the transfer of risk follow the Incoterms agreed in the Order. The Company will prepare export documents required for shipment, including packing list, commercial invoice, and applicable compliance documents.

Risk in the Products passes to you at the point defined by the agreed Incoterms. You are responsible for inspecting the Products on arrival and notifying the Company of any visible damage or shortage within a reasonable period, supported by photos or inspection records where relevant. Claims relating to transit damage should also be raised with the carrier or insurer as appropriate.

08 Warranty And Returns

The Company warrants that Products are free from defects in material and workmanship under normal use for the warranty period stated in the quotation or datasheet. Products are tested before shipment for airflow, noise, life, and temperature according to the agreed specification.

The warranty does not cover damage caused by misuse, incorrect installation, operation outside the rated specification, unauthorized modification, or normal wear. For a valid warranty claim, you must provide the Order reference, defect description, and supporting evidence. The Company's remedy is limited, at its option, to repair, replacement, or credit of the affected Products. Returns require prior written authorization from the Company.

09 Intellectual Property

The Website and its original content, features, and functionality, including logos, text, and product images, are and will remain the property of the Company and are protected by applicable intellectual property law. You may not use them without prior written consent.

For OEM and ODM Orders, you retain ownership of the designs, drawings, trademarks, and specifications you supply, and you confirm that you have the right to use them. You agree that the Company may reference the general product category in its portfolio unless a confidentiality agreement states otherwise.

The Website may contain links to third-party websites or services not owned or controlled by the Company. The Company has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party sites. We advise you to review the terms and privacy policy of every third-party site you visit.

11 Limitation Of Liability

To the maximum extent permitted by applicable law, the total liability of the Company under or in connection with an Order is limited to the amount you paid for the affected Products. The Company is not liable for any indirect, incidental, or consequential loss, including loss of profit, loss of production, or loss of business, arising from the use of the Website or the supply of Products.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law. Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above may not apply to you.

12 Governing Law And Disputes

These Terms and any Order are governed by the laws of the People's Republic of China, without regard to conflict of law rules. The parties will first attempt to resolve any dispute through friendly negotiation. Where a dispute cannot be resolved amicably, it will be settled in accordance with the dispute resolution mechanism stated in the Order, or otherwise by the competent authority at the Company's place of business.

13 Changes To These Terms

The Company reserves the right to modify or replace these Terms at any time. We will post the revised Terms on this page and update the "Last Updated" date. Changes are effective when posted. By continuing to access or use the Service after revisions become effective, you agree to be bound by the revised Terms. Terms applicable to a confirmed Order are those in force at the time the Order was confirmed.
